Terms of Use

Arbitration Notice: BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE ALL DISPUTES WITH HIREU THROUGH BINDING INDIVIDUAL ARBITRATION. THIS MEANS YOU WAIVE YOUR RIGHT TO HAVE DISPUTES DECIDED BY A JUDGE OR JURY, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. SEE SECTION 14 ("DISPUTES WITH HIREU") FOR MORE DETAILS.

The following terms of service (these "Terms of Service"), govern your access to and use of the HireU website and mobile application, including any content, functionality and services offered on or through www.hireu.app or the HireU mobile application (the "Site") by HireUco Inc., a Delaware C Corporation. HireUco Inc. is referred hereto as "HireU," "we" or "us" and "you" or "user" means you as a user of the Site. Please read the Terms of Service carefully before you start to use the Site. By using the Site, opening an account or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms of Service, HireU Payment Terms, HireU's Community Standards, and any additional standards, conditions, policies, guidelines and in-product disclosures (collectively, the "Terms"), which are incorporated herein by reference. You further acknowledge, you have read and understood our Privacy Policy. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Site. Our Customer Support team is available if you have any questions regarding the Site or Terms. Contacting our Customer Support team can be performed by submitting a request to support@hireu.app.

1. Representations and Warranties

This Site is offered and available to users who are at least 18 years of age and of legal age to form a binding contract. Users must also be currently enrolled at, employed by, or affiliated with an accredited college or university, OR be a recent graduate (within two years of graduation). If you do not meet these requirements, you are not permitted to use the Site or HireU services. By using the Site, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site.

2. Key Terms

- Clients are users who purchase services on HireU. - Custom Offers are exclusive proposals that a Provider can create in response to specific requirements of a Client. - Listing Extras are additional services offered on top of the Provider's Listing for an additional price defined by the Provider. - Listing Packages allow Providers to offer services in different formats and prices. - Listing Page is where the Provider can describe their Listing and the Listing's terms, and the Client can purchase the Listing and create an Order. - Listing / Listings / Services / Gigs are services offered on HireU, including via Custom Offer. - Order Page is where Clients and Providers communicate with each other in connection with an ordered Service. - Orders are the formal agreements between a Client and Provider, including orders via Listing Page and Custom Offer. - Providers / Freelancers are users who offer and provide Services on HireU. - Provider Page is where Providers can include all of their information, present a portfolio of other works, and anything that could be helpful to Clients.

3. Overview (main terms, in a nutshell)

- Only registered users may buy and sell on HireU. In registering for an account, you agree to provide us with accurate, complete and updated information regarding your personal details. - Users must be at least 18 years old and currently enrolled at, affiliated with, or recently graduated from an accredited college or university. - Providers determine their pricing, at their sole discretion. Services on HireU may be offered at a base starting price of US$5. - Clients pay HireU in advance to create an Order, as further detailed on the Payment Terms. - Providers must fulfill their Orders, and may not cancel Orders on a regular basis or without cause. - Users may not offer or accept payments using any method other than placing an Order through HireU. - When purchasing on HireU, Clients are granted all rights for the delivered work, unless otherwise specified by the Provider on their Listing page. - HireU is a marketplace for services offered by Providers. Clients confirm they will engage all Providers as independent contractors. - HireU retains the right to use all delivered work that the Client agreed to publish as part of a review or otherwise make public, for HireU marketing and promotion purposes.

4. Providers

4.1 Basics

- Providers create Listings on HireU to allow Clients to purchase their services. - Providers may also offer Custom Offers. - For information about receiving payments, fees and taxes see the Payment Terms. - The Provider's rating is calculated based on the reviews posted by Clients.

4.2 Listings

Listings created on HireU are User Generated Content. Listings and/or users may be removed by HireU from the Site for violations of the Terms, which may include: - Illegal or fraudulent services - Copyright infringement, trademark infringement, and violation of a third party's terms of service - Adult oriented services, pornographic, inappropriate/obscene - Intentional copies of Listings - Spam, nonsense, violent or deceptive Listings - Listings misleading to Clients or others - Reselling of regulated goods - Offering to prepare academic works on behalf of Clients - Low quality services or deliveries - Promoting HireU through activities prohibited by any laws or third parties' terms of service

4.3 Listing Extras

- Listing Extras are additional services offered on top of the Provider's Listing for an additional price defined by the Provider. - Listing Extras may be removed for violations of our Terms. - Services offered through Listing Extras must be related to the base service. - Providers have the option to extend the duration of an Order for each Listing Extra.

4.4 Levels

Our level system empowers Providers with metrics demonstrating what drives their progress. As Providers gain more experience on the platform and advance to higher Levels, they will be eligible for new benefits and tools. - HireU Providers can gain account levels based on their activity and performance metrics. - HireU may update the level criteria and benefits from time to time. - Violations of these Terms may result in your account being placed on hold from progress in the leveling system.

4.5 Provider Features

Custom Offer: - Providers can send Custom Offers addressing specific requirements of a Client. - Custom Offers are defined by the Provider with the exact description of the service, the price and the time expected to deliver the service. Project Milestones: - Listings and Custom Offers above $100 may include up to six project milestones, the minimum amount for each milestone is $50. - Once a milestone is delivered and marked as completed, Clients may choose to either continue with the Order and pay for the next milestone, or to stop the Order.

5. Clients

5.1 Basics

- HireU retains the right to use all delivered work that the Client agreed to publish as part of a review or otherwise make public. - Services requested by Client must comply with HireU Community Standards. - When placing an Order on the HireU platform you may only use funds that were obtained from legal sources. - Please refer to the Payment Terms for making payments through the Site.

5.2 Non Circumvention; Non Solicitation

- You may not offer or solicit Providers to contract, engage, pay, or make payment outside of the HireU site. - If you have been asked to use an alternative payment method or to receive services outside of HireU, please report it immediately to Customer Support. - A violation of this non-circumvention and non-solicitation requirement is a material breach of these Terms and may lead to a permanent disabling of your account.

6. Orders

6.1 Basics

- Once payment is confirmed, your Order will be created. - An Order is marked as Complete after it is marked as "Delivered" and then accepted by a Client. - An Order will be automatically marked as "Complete" if not accepted and no request for modification was submitted within 3 days after the Order was marked as "Delivered". - Certain Listings that offer local services might require Clients and Providers to meet in person. HireU does not guarantee the behavior, conduct, safety, suitability or ability of either party.

6.2 Handling Orders

- When a Client places an Order, the Provider is notified by email as well as notifications on the Site. - Providers are required to meet the delivery time they specified when creating their Listings. - Providers must send completed files and/or proof of work when marking the Order as "Delivered". - The Deliver Work button may not be abused by Providers to circumvent Order guidelines. - Users are responsible for scanning all transferred files for viruses and malware. - Clients may use the "Request Revisions" feature if the delivered materials do not match the Provider's description.

6.3 Reviews

- Reviews provided by Clients are an essential part of HireU's rating system. - Reviews will not be removed unless there are clear violations of our Terms. - All reviews must come from legitimate and eligible orders. - Withholding the delivery of services with the intent to gain favorable reviews is prohibited. - Once both Provider and Client have completed their reviews, all posted reviews are made public.

7. User Conduct and Protection

7.1 Basics

HireU enables college students and recent graduates to create, share, sell and purchase nearly any service they need at an unbeatable value. HireU maintains a friendly, community spirited, and professional environment. - Requesting or providing personal contact details to communicate outside of HireU is not permitted. - HireU does not provide any guarantee of the level of service offered by Providers to Clients. - HireU does not provide protection for users who interact outside of the Site. - All information and file exchanges must be performed exclusively on the Site. - Rude, abusive, or improper language, and violent or threatening messages will not be tolerated. - You undertake not to discriminate against any other user based on gender, race, age, religious affiliation, sexual orientation or otherwise.

7.2 Violations

Users may receive a warning to their account for violations of our Terms or any user misconduct. Non-Permitted Usage: - Adult Services & Pornography - HireU does not allow any exchange of adult oriented or pornographic materials and services. - Inappropriate Behavior & Language - Communication on HireU should be friendly, constructive, and professional. - Phishing and Spam - Any attempts to publish or send malicious content is strictly prohibited. - Privacy & Identity - You may not publish or post other people's private and confidential information. - Authentic HireU Profile - You may not create a false identity on HireU. - Intellectual Property Claims - HireU will respond to clear and complete notices of alleged copyright or trademark infringement. - Fraud / Unlawful Use - You may not use HireU for any unlawful purposes. - Academic Dishonesty - HireU strictly prohibits any services involving completing assignments, tests, homework, or coursework intended to be submitted as another person's own work. Violations will result in immediate account termination. Abuse and Spam: - Multiple Accounts - Users are limited to one active HireU account. - Targeted Abuse - We do not tolerate users who engage in targeted abuse or harassment. - Selling Accounts - You may not buy or sell HireU accounts.

7.3 Disputes and Cancellations

We encourage our Clients and Providers to try and settle conflicts amongst themselves. If for any reason this fails after using the Resolution Center or if you encounter non-permitted usage on the Site, users can contact HireU's Customer Support department for assistance.

7.4 Confidentiality

Providers should recognize that there might be a need for Clients to disclose certain confidential information to be used by Providers for the purpose of delivering the Services. Providers specifically agree to: (i) maintain all such information in strict confidence; (ii) not disclose the information to any third parties; (iii) not use the information for any purpose except for delivering the Services; and (iv) not to copy or reproduce any of the information without the Client's permission.

8. User Generated Content

User Generated Content ("UGC") refers to the content uploaded by users as opposed to content created by the Site. All content uploaded to the Site by our users (Clients and Providers) is User Generated Content. HireU does not proactively check UGC for appropriateness, violations of copyright, trademarks, other rights or violations and the user uploading/creating such content shall be solely responsible for it. By uploading to, or creating content on, the Site, you represent and warrant that you own or have obtained all rights, licenses, consents, permissions, power and/or authority, necessary to use and/or upload such content. Furthermore, HireU is not responsible for the content, quality or the level of service provided by the Providers. We provide no warranty with respect to Services on HireU, their delivery, or any communications between Clients and Providers.

9. Ownership

When purchasing a Service on HireU, unless clearly stated otherwise on the Provider's Listing page/description or in the Custom Offer, when the work is delivered, and subject to payment, the Client is granted all intellectual property rights, including but not limited to, copyright in the work delivered from the Provider. All transfer and assignment of intellectual property to the Client shall be subject to full payment, and the delivery may not be used if payment is cancelled for any reason. Some Listings charge additional payments (through Listing Extras) for a Commercial Use License. Furthermore, users agree that unless they explicitly indicate otherwise, the content users voluntarily create/upload to HireU may be used by HireU for no consideration for marketing purposes.

10. Disclaimer of Warranties

YOUR USE OF THE SITE, ITS CONTENT, FEATURES, SERVICES AND PROGRAMS, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT, FEATURES, SERVICES AND PROGRAMS, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER HIREU NOR ANY PERSON ASSOCIATED WITH HIREU MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE SITE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Limitation on Liability

IN NO EVENT WILL HIREU, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE. IN NO EVENT SHALL HIREU'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Deactivate and Disable Account

- HireU reserves the right to put any account on hold or permanently disable accounts due to breach of the Terms, including low quality services or deliveries, or due to any illegal or inappropriate use of the Site or services. - Violation of HireU's Terms may get your account permanently disabled. - Users with disabled accounts will not be able to sell or buy on HireU and related content may be removed. - Users may also deactivate their account with HireU at any time from their account settings. - Any provisions of the Terms that relate to the relation between a Provider and a Client regarding Orders on HireU will remain in effect even after you deactivate your account.

13. Security Features

- Users have the option to enable account Security features to protect their account from any unauthorized usage. - Users must be able to verify their account ownership through Customer Support by providing materials that prove ownership of that account.

14. Disputes with HireU

IF YOU ARE A USER RESIDING IN THE UNITED STATES, PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS AND GOVERNS HOW YOU AND HIREU CAN BRING CLAIMS COVERED BY THIS ARBITRATION AGREEMENT. Arbitration & Class Action Waiver: You and HireU agree that any dispute or claim of any kind between us shall be finally resolved by final and binding arbitration, using the English language, administered by the American Arbitration Association (the "AAA") under its Commercial Arbitration Rules then in effect. ANY ARBITRATION UNDER THE TERMS WILL TAKE PLACE ON AN INDIVIDUAL BASIS. YOU UNDERSTAND THAT BY AGREEING TO THESE TERMS, YOU AND HIREU ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT. Forum: Arbitration proceedings may be filed in Delaware, and any in-person hearing will take place in Wilmington, Delaware. How to Opt Out: If you do not want to be bound by this arbitration agreement, you must notify HireU in writing by email to legal@hireu.app within 30 days of your agreement to these Terms of Service.

15. General Terms

15.1 Changes to these Terms

HireU may make changes to these Terms from time to time. When these changes are made, HireU will make a new copy of the Terms available on the respective page. You understand and agree that if you use HireU after the date on which the Terms have changed, HireU will treat your use as acceptance of the updated Terms.

15.2 Choice of Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without respect to its conflict of laws principles.

15.3 Indemnification

To the fullest extent possible pursuant to applicable law, you agree to defend, indemnify, and hold HireU harmless, including its officers, directors, shareholders, employees, affiliates and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debt and expenses arising from: (1) your violation of any of these Terms; (2) any claim or demand regarding the nature of the relation between Client and Provider; (3) your violation of any third-party right; (4) any other type of claim that your use of the Site caused damage to a third party.

15.4 Severability

If any part of the Terms is found to be unenforceable, that part will be limited to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

15.5 Assignment

HireU may assign or otherwise transfer its rights and/or obligations under the Terms without your consent or a notice to you. You may not assign or transfer any of your rights and obligations under the Terms without the prior written consent of HireU.

15.6 Entire Agreement

Our Terms constitute the entire agreement concerning the subject matter therein, and supersede any other agreement regarding the Site or services.
